1. Acceptance of Terms
By accessing or using the CalibraLogic AI platform, diagnostic tools, or API services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately cease all use of our services.
2. Description of Service
CalibraLogic AI provides advanced automotive intelligence, including but not limited to ECU calibration analysis, map identification, performance telemetry analysis, and diagnostic intelligence powered by our proprietary CL Engine lineup (CL-Scan, CL-Forge, CL-Matrix, CL-Engineering, CL-Assembly, and Ultra Mode).
3. Account Registration
To access certain features, you must register for an account. You agree to:
- Provide accurate, current, and complete information.
- Maintain the security of your password and credentials.
- Promptly update account information to keep it accurate.
- Accept all risks of unauthorized access based on your failure to protect credentials.
4. Subscription & Payments
Access to professional-grade engineering modules requires an active subscription. CalibraLogic AI offers three plans:
- Garage (€9.99/mo): 1 AI engine (CL-Scan), 100,000 CL Tokens/mo, email support.
- Tuner (€39.99/mo): 3 AI engines (Scan + Forge + Matrix), 500,000 CL Tokens/mo, priority support.
- Engineer (€99.99/mo): All 5 engines, 1,500,000 CL Tokens/mo + 10K Ultra bonus, CL-Editor included, API access.
Yearly billing option available with 20% discount. Subscriptions are billed in advance. You may cancel at any time. Access remains active until the end of the billing period. No partial refunds are provided. Payments are processed securely via Stripe in EUR. All fees are non-refundable except as specified in our Refund Policy or as required by law.
5. CL Tokens
Certain high-compute AI tasks require CL Tokens. Tokens are digital credits used within the CalibraLogic AI ecosystem and hold no monetary value outside of the platform. Tokens remain in your account while your subscription is active and do not expire. CL Tokens are non-refundable once credited to your account.
6. Free Trial
- New users may receive a 14-day trial of the selected subscription plan. Credit card required for paid plans.
- Trial eligibility is limited to one per user.
- Abuse of trial access may result in termination.
- After the trial ends, you can upgrade to a paid plan anytime from your dashboard.
7. API Usage (Engineer Plan)
Engineer plan subscribers with API access must comply with:
- Rate limits (subject to change)
- Confidential handling of API keys
- No resale or redistribution of API access
API access may be modified, rate-limited, or revoked at our sole discretion. We reserve the right to change API pricing or limits with prior notice.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe intellectual property rights
- Upload malicious or harmful files
- Upload stolen or unlawfully obtained ECU files
- Circumvent vehicle safety regulations
- Generate emissions defeat strategies where prohibited by law
- Scrape, automate, or overload the Service
- Reverse engineer or extract AI model weights
- Resell or redistribute access

9. Intellectual Property
The service and its original content, features, and functionality are and will remain the exclusive property of CalibraLogic AI, a division of IP Engineering. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.
10. AI Disclaimer
CRITICAL NOTICE FOR ENGINEERING PROFESSIONALS:
CalibraLogic AI utilizes artificial intelligence and machine learning models to generate diagnostic suggestions and calibration parameters. You acknowledge that:
- AI outputs are simulations and should not be used as the sole basis for physical mechanical modifications.
- All AI-generated calibrations must be verified by a certified automotive engineer in a controlled environment.
- CalibraLogic AI is not responsible for mechanical failure, property damage, or personal injury resulting from the application of AI-suggested parameters to physical vehicles.
11. Data & Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data and telemetry information uploaded to the platform.
Uploaded files are processed automatically. We do not claim ownership of your technical data. You retain ownership of all uploaded files. You grant us a limited license to process uploaded data solely to provide the Service.
12. Third-Party Services
Our service may contain links to third-party web sites or services that are not owned or controlled by CalibraLogic AI. We assume no responsibility for the content, privacy policies, or practices of any third party.
13. Limitation of Liability
The Service is provided "as is" without warranties of any kind. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, IP Engineering shall not be liable for:
- Engine damage or vehicle malfunction
- Regulatory penalties or emissions violations
- Warranty voidance
- Lost profits or business interruption
- AI inaccuracies
- Service downtime or data loss
- Indirect, incidental, or consequential damages
In no event shall our total cumulative liability exceed the total amount paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.
14. Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control, including cloud provider outages, AI provider disruptions, regulatory changes, or force majeure events.
15. Indemnification
You agree to indemnify and hold harmless IP Engineering and its affiliates from any claims, damages, liabilities, costs, or expenses arising from:
- Your use of the Service
- ECU modifications performed based on AI guidance
- Violations of emissions or regulatory laws
- Breach of these Terms
16. Dispute Resolution
Disputes shall first be resolved through good faith negotiation before litigation.
17. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination: access ends immediately, uploaded files are deleted within 30 days, and billing records are retained as required by law.
18. Modifications
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect.
19. Age Restriction
You must be at least 18 years old to use the Service.
20. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to its conflict of law provisions. Any disputes shall be submitted to the courts of Dubai, UAE.
